The agreement

These terms are between ISHI KOI FARM COMPANY LIMITED (CÔNG TY TNHH ISHI KOI FARM, "we", "iDDM") and the organisation named on the order form ("you"). By signing the order form or using the service, you accept them.

If a term in the order form conflicts with a term here, the order form prevails for that point.

The service

iDDM is a device management platform for company-owned iPhone, iPad and Mac, built on Apple's Declarative Device Management and operated inside Vietnam.

The platform is in development. Features marked as design partner or preview may change or be withdrawn, and are provided without a service level commitment.

Your responsibilities

• Enrol devices through Apple Business Manager or Apple School Manager, and keep those programme accounts in good standing.
• Have a lawful basis for managing each device, and inform the people who use them what is managed.
• Keep administrator credentials secure and enable multi-factor authentication for every administrator.
• Give us accurate billing and contact details, and tell us when an administrator leaves.

Acceptable use

• Do not manage devices you have no authority to manage.
• Do not use the service to circumvent Apple's device management framework, to access device content outside what the framework exposes, or to monitor personally owned devices beyond the managed scope.
• Do not resell, sublicense or provide the service to a third party without our written agreement.
• Do not attempt to probe, scan or load-test the platform without written permission. Security research is welcome through the process on the Security page.

Apple programmes

Use of the service depends on your own agreements with Apple, including the Apple Business Manager or Apple School Manager terms. We are not affiliated with, endorsed by, or acting on behalf of Apple Inc.

Availability and support

We target [SLA]% monthly availability for the management service, measured as described in the order form. Planned maintenance is announced at least [SỐ GIỜ] hours in advance.

Support is provided in Vietnamese and English during Vietnam business hours, with the response targets set out in the order form.

Fees

Fees, currency, billing period and payment terms are set out in the order form. Prices are exclusive of VAT and other applicable taxes.

Late payment may lead to suspension after [SỐ NGÀY] days' written notice.

Your data

You keep all rights in your data. We process it only to provide the service, as described in the Privacy Policy and the data processing agreement.

On termination you may export device records, configuration state and audit logs for [SỐ NGÀY] days. After that we delete them on the retention schedule in the Privacy Policy.

Term and termination

The subscription runs for the term on the order form and renews unless either side gives notice at least [SỐ NGÀY] days before the end of the term.

Either side may terminate for material breach that is not cured within [SỐ NGÀY] days of written notice. We may suspend the service immediately if continued use threatens the security of the platform or of other customers, and we will tell you why.

Warranties and liability

We provide the service with reasonable skill and care. Except as stated in the order form, the service is provided without further warranty, and preview features are provided as they are.

Neither side is liable for indirect or consequential loss. Our total liability is limited to the amount set out in the order form. Nothing here excludes liability that cannot be excluded under Vietnamese law.

Governing law

These terms are governed by the laws of Vietnam. Disputes that cannot be settled by negotiation within [SỐ NGÀY] days are submitted to [TÒA ÁN HOẶC TRUNG TÂM TRỌNG TÀI] in Vietnam.

iDDM.vn
